Compare LLP and private limited company in India on ownership, compliance, taxation, fundraising and exit to choose the right structure for your business.

LLP vs Private Limited Company: Which Structure Should You Choose?

The basics

A Limited Liability Partnership (LLP) is formed under the LLP Act, 2008 and needs at least two designated partners. A private limited company is formed under the Companies Act, 2013 and needs at least two directors and two shareholders. Both give limited liability to their owners.

Compliance

An LLP files an annual return and a statement of accounts and solvency every year; audit is mandatory only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh. A private limited company must hold board meetings, an AGM, maintain statutory registers, have its accounts audited every year and file annual returns with the ROC. Compliance cost is higher for a company.

LLP vs Private Limited Company: Which Structure Should You Choose? - key points

Taxation

An LLP is taxed at a flat rate on its profits, and profit share received by partners is not taxed again. A domestic company can opt for a concessional tax rate under the Income Tax Act, but dividends are taxed in the hands of shareholders. The better option depends on profit levels and how money is taken out of the business — confirm with your chartered accountant.

Fundraising and growth

Investors such as angels and venture capital funds generally prefer private limited companies because they can hold shares, and companies can issue ESOPs to employees. If you plan to raise equity, a private limited company is usually the right choice.

Which one to choose

  • Choose an LLP for professional firms, family partnerships and businesses that do not plan to raise equity
  • Choose a private limited company for startups planning to raise funds, offer ESOPs or scale quickly

An LLP can later be converted into a company, but it is simpler to start with the right structure.
